The Managing Director, Senior Attorney – Corporate Finance will play a pivotal role within the American Airlines in-house legal team, providing expert legal counsel and strategic advice across multiple key functions. This includes supporting the Treasury department on corporate finance, banking, and securities matters; advising the Fleet team on fleet-related transactions; guiding the Corporate Development team on investments and strategic transactions; and assisting the Corporate Secretary on corporate governance issues.

Management will modify the job or require other tasks be performed whenever it is deemed appropriate to do so, observing, of course, any legal obligations including any collective bargaining obligations.

• Provides practical, compliant, and strategic legal support and counsel to Treasury, Fleet, Accounting, Corporate Development and Management on a wide range of issues, including:
  • Capital spanets transactions, including secured and unsecured debt issuances, EETC transactions, and equity offerings
  • Aircraft transactions, including purchase, sales, financing, and leasing agreements
  • Securities law matters and SEC reporting obligations
  • Corporate governance and board-related matters
  • Earnings releases and Investor Relations support
  • Strategic investments, partnerships and growth initiatives
• Collaborates in the review and preparation of the Company’s reports under the Securities Exchange Act of 1934 for submission to the SEC
• Serves as a specialist in financing, governance, and securities law, staying up-to-date on regulatory developments, industry trends, and best practices
• Partner effectively with outside counsel on aircraft, financing, governance, and securities law matters, ensuring cost-effective and efficient legal support

Minimum Qualifications- Education & Prior Job Experience

• Demonstrates the highest level of ethics and integrity
• Juris Doctor (J.D.) from an accredited law school, excellent academic record, and active member in good standing in at least one State bar
• 10+ years of experience at one or more top law firms or equivalent in-house or government experience, advising clients on securities laws, corporate governance, capital spanets, corporate finance and aircraft acquisition and disposition transactions
• Experience working collaboratively with company executives, including Treasury, Accounting and Investor Relations groups
• Experience drafting a wide range of financing and disclosure documents
• In-depth understanding of securities regulations governing public corporations
